By requesting UPL for provision of the documentation for the UPL tender for exploitation of the UPL media rights for Seasons 2019/20, 2020/21, 2021/22 (Tender), an entity (the Requesting Party) unequivocally and irrevocably agrees to be bound by these Confidentiality Rules.
The Requesting Party accepts and undertakes that:
The Tender as well as all pertinent documents and other information exchanged between the Requesting Party with UPL during the Tender Procedure are strictly confidential and are to be handled in the utmost confidence.
These confidentiality obligations also apply with respect to any other parties who may or may not participate in the Tender.
The Requesting Party may only disclose such information to persons that are required to have knowledge thereof for the purpose of evaluating or submitting a Bid and who are themselves bound to maintain the same confidentiality by appropriate measures.
The Requesting Party shall be liable to UPL for any damage caused by the breach of these Confidentiality Rules.
UPL reserves the right to exclude from this Tender procedure any Interested Party and/or Bidder who is in breach of these Confidentiality Rules or confidentiality obligations contained in the Tender documentation.
Notwithstanding the foregoing, confidential information may be disclosed to persons who are bound by a statutory duty of secrecy (e. g. lawyers) or if the disclosure is required by a court or a governmental or regulatory authority, or by law or statutory documents of the relevant entity.
UPL also undertakes to abide by strict confidentiality with respect to any and all confidential information disclosed to it by the Requesting Party, any Interested Parties and/or Bidders during the Tender procedure (in particular in regard to any Bid(s)). UPL further commits to bind all persons involved in the Tender procedure from UPL’s side accordingly.
